Business Prime Terms and Conditions

These terms and conditions ("Terms") are between the business you represent ("You") and Amazon EU S.à r.l. and/or its affiliates ("Amazon", "We" or "Us") and govern your use of Business Prime. By signing up for the Business Prime program or using Business Prime, you confirm you are authorized to agree on behalf of the business you represent, and you accept (on behalf of your business) these Terms. Please note that your use of Business Prime is also governed by theAmazon Business Account Terms & Conditions , Amazon's Conditions of Use & Sale , as well as all other applicable terms, conditions, limitations and requirements available on the Amazon.co.uk website, all of which (as changed over time) are incorporated into these Terms.
Membership cancellation
One of your business account administrators may cancel Business Prime membership any time by visiting Manage Your Business and adjusting your membership settings. We will refund your full membership fee only if you did not make any eligible purchases or take advantage of Business Prime benefits since your last membership charge. Business Prime memberships redeemed through a gift code or promotional code are not refundable.
Benefits
Business Prime provides access to Business Prime benefits for all business users who are associated with your Amazon Business account. These shipping benefits are limited to certain products sold on the Amazon.co.uk website by Amazon.co.uk (or shipped by Amazon.co.uk on behalf of third-party sellers) and deliverable to United Kingdom or Republic of Ireland addresses (Excluding any United Kingdom or Ireland offshore islands). Shipping benefits depend upon inventory availability and order deadlines. If only some items in your order are eligible for Business Prime benefits, you will pay applicable shipping charges for the ineligible items. Changing or combining orders, or changing your shipping address, speed, or preferences might affect eligibility. Certain purchases may only be entitled to free Standard Shipping because of their size, weight, destination, and other shipping characteristics. We may exclude products with special shipping characteristics at our discretion. This page provides information about eligible items, shipping cost, shipping speed, and shipping destinations.
Further conditions
- Your registration for Business Prime is merely an offer to enter into a contract. We reserve the right to accept or refuse membership in our discretion, to the extent permitted by applicable law. You only have a membership contract with us if and once we have sent you a confirmation of your Business Prime membership.
- You may only use Business Prime for business, and not personal, use.
- We may communicate with you in connection with Business Prime electronically and in other media, and you consent to such communications regardless of any "E-mail Preferences" (or similar preferences or requests) you may have indicated on your Amazon account.
- You may not transfer or assign your Business Prime benefits, including promotion codes for Business Prime benefits, except as allowed in these Terms.
- Business Prime is intended for an Amazon Business customer to ship products to itself or to locations for its own use. Amazon Business customers are not permitted to use Business Prime to purchase products for the purpose of rental or to ship products to their customers or other parties.
- The eligibility of your orders for Business Prime may depend on the size of your order, total order value, product quantity purchased, or the location of your shipping address. Some benefits may require members to meet specified criteria in order to access them
- From time to time, Amazon may choose in its sole discretion to add, change or remove Business Prime benefits or to change the fee charged for these benefits. You acknowledge that Business Prime does not include any Prime benefits other than those listed above in the "Benefits" section that we make available to you.
Fees and membership
The membership fee for Business Prime is stated in this page. The Business Prime membership fee is non-refundable except as expressly set forth in these Terms. The membership fee and the reduced shipping charges for Business Prime are subject to any applicable VAT. If the number of business users in your business account increases to a higher Business Prime plan, your membership fee will be increased to the fee associated with the applicable plan. The default payment method in your wallet will be used to pay for your Business Prime membership fee and will be available to pay for any future orders on Amazon.
At the next due date of your Business Prime membership fee, unless an administrator on your business account changes the default payment method, Amazon will first charge the original payment method you used to purchase Business Prime , which may be an individual payment method. If all eligible payment methods we have on file for you are declined for payment of your membership fee, you must provide us a new eligible payment method promptly or your membership will be cancelled. If you provide us with a new eligible payment method and are successfully charged, your membership period will be based on the original due date and not the date of the successful charge.
Unless you notify us before the next due date of your membership fee that you want to end your membership at this date or cancel your membership in Manage Your Business, you authorize us (without notice to you, unless required by applicable law) to collect the then-applicable membership fee (including any applicable VAT), using any eligible payment method we have on record for you or for any administrator.
Promotional trial memberships
From time to time, we may offer certain customers specific trial or other promotional memberships, which are subject to these Terms except as otherwise stated in the promotional membership terms. Trial and promotional members may at any time (through Manage Your Business) choose not to convert or continue to paid or non-promotional membership as set out in these Terms and in the promotional membership terms.Agreement changes
We may in our discretion change these Terms or any aspect of Business Prime without notice to you. If any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. Your continued use of Business Prime after we change these Terms constitutes your acceptance of the changes. If you do not agree to any changes, you may cancel your membership.Termination by us
We may terminate your participation in the Business Prime program at our discretion without notice. If we do so, we will give you a prorated refund based on the number of full months remaining in your membership unless you have shipped more than 50 units using Business Prime. However, we will not give any refund for termination related to conduct that we determine, in our discretion, violates these Terms or any applicable law, involves fraud or misuse of the Business Prime membership, or is harmful to our interests or another user. Our failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of our rights.
Events beyond our reasonable control
We will not be held responsible for any delay or failure to comply with our obligations under these Terms if the delay or failure arises from any cause which is non foreseeable and beyond our reasonable control.
Limitations of liability
Under no circumstances will Amazon be liable for any consequential, incidental, special, exemplary or punitive damages, including but not limited to any lost profits that result from your use of the Business Prime service or your purchase of any products on amazon.co.uk, even if Amazon has been advised of the possibility of such damages. Amazon's liability in all events is limited to the purchase price paid for the product that gives rise to any liability.
